Service Description

Quick Amazon Importer (“the App,” “the Service,” or “we”) is a Shopify application that enables merchants to import product listings from Amazon.com into their Shopify stores. By installing, accessing, or using the App, you (“Merchant,” “User,” or “you”) agree to be bound by these Terms and Conditions (“Terms”).

1.1 Service Scope

The Service allows you to:

Search for and identify products on Amazon.com
Import product data including titles, descriptions, images, and pricing
Customize imported products before publishing to your Shopify store
Manage imported products through the App interface

1.2 Service Limitations

You acknowledge that:

The Service does not create, maintain, or manage any fulfillment, inventory, or customer service relationships with Amazon or Amazon sellers
You are solely responsible for any products you list on your store, including compliance with Amazon’s terms of service, intellectual property rights, and all applicable laws
Product data accuracy depends on Amazon’s data availability and may change without notice
The Service is provided on an “as-is” basis and we make no guarantees about uptime, data accuracy, or functionality

User Obligations

2.1 Compliance Requirements

You agree to:

Comply with all applicable laws, regulations, and third-party terms of service, including Amazon’s Terms of Service, Amazon Associates Program Policies, and Shopify’s Terms of Service
Obtain all necessary rights, licenses, and permissions to sell products you import using the Service

2.2 Prohibited Uses

You agree not to:

To use the Service, you must have an active Shopify store and install the App through the Shopify App Store. You agree to provide accurate, current, and complete information during the registration process.

Disclaimers and Limitations of Liability

6.1 Service Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability, fitness for a particular purpose, or non-infringement

Warranties regarding the results that may be obtained from using the Service

6.2 Third-Party Services

The Service relies on third-party platforms including Amazon and Shopify. We are not responsible for:

Changes to Amazon’s or Shopify’s terms of service, APIs, or policies
Interruptions or discontinuation of third-party services
Accuracy or availability of data from Amazon or other third parties
Actions taken by Amazon, Shopify, or other third parties that affect your use of the Service

6.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Damages resulting from your use or inability to use the Service
Damages resulting from unauthorized access to or alteration of your data
Damages resulting from statements or conduct of any third party using the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR $100, WHICHEVER IS GREATER.

6.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

Your violation of Amazon’s or Shopify’s terms of service

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims. You will not settle any such claim without our prior written consent.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which our company is registered, without regard to its conflict of law provisions.

8.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through:

You agree to bring any dispute in an individual capacity only and not as a plaintiff or class member in any purported class or representative proceeding.

8.4 Jurisdiction and Venue

To the extent that arbitration does not apply, you agree to submit to the personal and exclusive jurisdiction of the courts located within the jurisdiction where our company is registered.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or through the App. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

9.2 Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

9.3 Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including:

Violation of these Terms
Fraudulent or illegal activity
Request by law enforcement or government agencies
Extended periods of inactivity
Technical or security reasons

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
